## Introduction
NanoString Technologies, a Seattle-based company, has announced that it will be acquired by Bruker, a Massachusetts-based life sciences research and diagnostic giant. This acquisition marks the end of NanoString’s restructuring process, which included a Chapter 11 bankruptcy plan.

## The Acquisition
Bruker will pay $392.6 million to acquire NanoString, with the deal expected to close next month. NanoString initiated the Chapter 11 bankruptcy plan after losing a patent infringement case against 10X Genomics. The company had received a bid from a “stalking horse” bidder in March, but Bruker’s bid represented a significant increase in value.

## The Lawsuit
In a patent infringement case, 10X Genomics accused NanoString of infringing on seven patents related to NanoString’s GeoMx Digital Spatial Profiler, which analyzes RNA and protein. The jury awarded more than $31 million in damages to 10X Genomics, leading NanoString to go through several rounds of layoffs.

## Financial History
NanoString’s stock price reached record highs in 2021 but steadily declined over the next two years. The company received a notice from Nasdaq about its stock price being below the $1/share minimum requirement for 30 consecutive business days. Founded in 2003, NanoString went public in 2013 and has been a leader in spatial biology and gene expression platforms.
